Lauren is a member of the firm’s Corporate & Tax Group, where she assists clients in all stages of their business through entity formation, day-to-day contracts and legal issues, securities offerings, expansion through mergers and acquisitions, and the sale of the business.

Lauren’s primary practice involves representing clients in mergers and acquisitions and related corporate transactions, including stock and asset purchases, mergers, restructurings, and capital raises. Lauren also regularly drafts, reviews and negotiates contracts and leases and assists clients with day-to-day corporate legal issues.

Lauren also has significant experience advising both public and private clients on corporate governance and securities regulation matters.

  • Assessed and provided opinions of data breach implications during due diligence of prospective corporate acquisitions.
  • Developed proactive cybersecurity policies, procedures, and best practices for client’s use in implementing technology, security, and data breach response plans.
  • Represented ProAssurance Corporation in the following publicly announced transactions: 2014 - acquisition of Eastern Insurance Holdings, Inc., a publicly held Pennsylvania insurance holding company in a cash merger; 2013 - public offering of $250,000,000 Notes in an underwritten public offering; 2013 - acquisition of Medmarc Mutual Insurance Company in a cash sponsored demutualization of a Vermont insurance company; 2012 - acquisition of Nevada Doctors Insurance Exchange in a cash sponsored conversion of a Nevada reciprocal insurance exchange.
  • Represented a community pharmacy chain in a multi-million dollar sale of the business to a national pharmacy chain.
  • Represented a technology services company in the multi-million dollar sale of its primary business to an industry purchaser.
  • Represented the domestic owner of a Russian heavy equipment dealership in the multi-million dollar sale of the business to a Turkish industry purchaser.
  • Represented private equity firm in multi-million dollar acquisition of restaurant chain.
  • Represented accounting firm in connection with sale of business.

What are your hobbies?
I love anything outdoors, such as hiking, rock climbing, and skiing. I also like singing, dancing, and movies with friends.

How do you define a “good day?”
A good book and a breezy day at the beach, a hike to a waterfall, a black diamond run in Whistler, or no lines for the roller coasters at Six Flags.

How do you spend your weekend?
Relaxing with friends and family, watching football in the fall (War Eagle!), going to church, or traveling.
