About Deborah
Deborah’s expertise is in corporate transactions, finance and governance matters. Deborah has advised a wide range of public and private companies in numerous industries. Her transaction experience covers both U.S. and international matters, including mergers, asset and stock sales, as well as going private transactions and other reorganizations. Her experience in capital market transactions includes common and preferred stock as well as other equity securities, high yield and convertible debt, and PIPE placements. Deborah also advises companies with respect to executive compensation matters, including cash, incentive, and equity program advice, employee stock issuances and related issues.
Deborah is member of the Georgia Bar.
Deborah received her J.D., with Honors, and her M.B.A., with Dean’s Achievement Award, in 1998 from The University of Texas at Austin. There she served as Editor-in-Chief of The Texas Journal of Business Law and was a member of the Order of the Coif. Deborah earned her B.B.A. in Finance with Highest Honors in 1993 from The University of Texas at Austin.
Some of Deborah’s representative matters include:
$1.5 billion acquisition of radio business by a partnership comprised of strategic and financial investors, with representation covering both the acquisition of the underlying assets as well as formation of the partnership.
Representation of investor group in two series of private placements of convertible notes with a Chinese issuer, aggregating over $40 million.
PIPE placements of both convertible debt and equity, in amounts ranging from $10 million to $30 million. Deborah’s representations included both issuers and investors.
Acquisitions and sales of assets and companies, including representations of both buyers and sellers, with transaction sizes ranging from $5 million to $1.5 billion, as well as formation of buying groups, with representations of both buyers and sellers, including strategic as well as financial players.
Deborah also has substantial experience representing public companies, including initial public offerings representing issuers, numerous Rule 144A and Regulation S placements representing both issuers and placement agents, and universal shelf offerings, with transaction sizes ranging from $125 million to $1.25 billion.
Deborah in the community
Having grown up in the Pacific Northwest, Deborah is an avid outdoorsman who lives near Stone Mountain, enjoying the opportunities for outdoor activities presented in that location. She regularly participates in triathlons, canoeing, hiking and camping and, when Atlanta weather precludes being outdoors, she enjoys an air-conditioned game of racquetball. Deborah is also an accomplished and creative artist, focusing primarily on acrylic paintings, and stays active in the arts. Deborah is a pilot and member of the Aircraft Owners and Pilots Association.
