Overview
Brandon Norris works in the firm's public finance practice group and has a practice that is made up of a variety of transactions, including issuance of municipal bonds, commercial real estate closings, corporate asset and stock sales, commercial credit facility transactions, nonprofit entity applications for tax exemption, New Markets Tax Credits financings and property tax economic incentive transactions. This variety of experience enables Brandon to guide his clients through many of the complex business decisions they face, and to help them leverage the business tools available to them to continually grow and evolve.
Experience
- Served as bond counsel to a city in issuance of a $5,000,000 waterworks and sewer system revenue bond
- Served as bond counsel to a city in issuance of a $1,000,000 special obligation bond (hospitality fee pledge)
- Served as borrower's counsel in a $7,800,000 New Markets Tax Credits financing for the acquisition, construction and renovation of recreational facilities
- Served as borrower's counsel in a $15,000,000 New Markets Tax Credits financing for the acquisition and construction of a parking garage
- Served as borrower's counsel in a $5,000,000 New Markets Tax Credits financing for the acquisition and construction of cycling facilities
- Served as borrower's counsel in a $4,000,000 New Markets Tax Credits financing for the acquisition and construction of airport facilities
- Represented manufacturer in procurement of various tax incentives, including a fee-in-lieu of tax arrangement and certain special source revenue credits in connection with an $30,000,000 investment in equipment and infrastructure
- Represented manufacturer in procurement of various tax incentives, including a fee-in-lieu of tax arrangement and certain special source revenue credits in connection with an $11,000,000 investment in equipment and infrastructure
- Assisted in representing local manufacturer in procuring various tax incentives, including a fee-in-lieu of tax agreement, from local government in exchange for a $25,000,000 investment in land, equipment and infrastructure
- Served as seller's counsel in the sale of the stock of a local consulting firm characterized as a deemed asset sale pursuant to I.R.C. §338(h)(10)
- Assisted local school district in formation of South Carolina non-profit corporation and application for exemption from federal income tax
- Served as seller's counsel in the sale of all membership interests in an industrial services company
- Served as purchaser's counsel in acquisition and renovation of downtown commercial facility
- Served as purchaser's counsel in the acquisition of local apartment complex
- Assisted in closing multiple commercial real estate transactions involving the simultaneous purchase and sale of multiple gasoline stations and convenience stores in various states
- Served as seller's counsel with regard to sale of various utility systems
- Served as bond counsel to a city in issuance of a $1,890,000 promissory note to the South Carolina Water Quality Revolving Fund Authority
