Overview
Jason’s experience includes a wide variety of matters, including payments/payment processing and fintech (i.e., structuring and negotiation of agent bank agreements, sponsor bank agreements, cardbrand agreements (i.e., Visa, MasterCard, Amex, etc.), ISO agreements, merchant and sub-merchant agreements, ACH matters, PCI-DSS matters, and risk assessments), public and private finance transactions, mergers & acquisitions, divestitures and spinoffs, and corporate governance matters. Jason's clients span a wide range of industries, including fintech (payments, SaaS, blockchain, and electronic transactions), banking & financial institutions, transportation & logistics, media, telecommunications, entertainment, IT services, wireless services, data centers, health care, and energy sectors.
Jason’s corporate and commercial finance practice includes bank holding companies, BDCs, other financial institutions, mezzanine funds, and corporate borrowers and primarily focuses on structuring, documenting, and closing various private finance transactions, including asset-based lending, cash flow financings, sponsor-backed financings, mezzanine and subordinated loans, real estate financings, renewables energy financings and other project financings, and private note placements.
Prior to joining Burr & Forman, Jason served as the sole senior legal officer of a top 25 payment processor where he was responsible for the management and oversight of all legal operations, commercial contracts, and corporate governance, as well as legal oversight and management of all litigation, HR/labor and employment issues, marketing, and internal and external transactional matters. Jason also successfully oversaw the sale of the company and its transition to becoming a portfolio company of a renowned money-center private equity fund.
Jason received his J.D. from Emory University School of Law and his B.A. from Youngstown State University.
