Nicole practices with the firm's Corporate & Tax Group and represents clients in a variety of transactional issues and general business matters, with a focus on mergers and acquisitions, corporate governance, and financing transactions.
Nicole’s practice regularly involves representing clients in corporate matters including mergers and acquisitions, capital raises, corporate restructurings, private equity transactions, joint ventures transactions and related corporate transactions. She also assists clients with corporate governance, entity formation, and regulatory compliance matters. Nicole reviews and prepares complex commercial contracts and other transactional documents, and aids clients with day-to-day corporate legal issues.
Nicole has represented borrowers and lenders in negotiating, structuring and documenting various financial transactions, including commercial real estate and acquisition financings, restructurings and syndicated finance transactions. She also has experience in the preparation of third-party closing opinions, whether as local or company counsel.
Nicole earned her Juris Doctorate from Vanderbilt University Law School, where she was a member of the Dean’s List and served as the Senior Articles Editor of the Vanderbilt Journal of Entertainment & Technology Law. Nicole also received the Law and Business Certificate as part of her studies. Prior to attending Vanderbilt, Nicole received her Bachelor of Arts in Philosophy, Politics, Economics, and Law (PPEL) from the University of Arizona.
