Burr & Forman Assists Atlanta Beltline, Inc. in Acquisition of Historic Properties for Oakland Exchange Project

Results

On December 26, 2025, Burr & Forman assisted Atlanta Beltline, Inc. (“ABI”) in a significant redevelopment project in Southwest Atlanta.

As part of the transaction, ABI acquired historic industrial properties that will be redeveloped into a mixed-use project with an affordable housing component known as Oakland Exchange. The structure of the agreement allows the developer, Urban Realty Partners, to continue developing the property through a lease-back arrangement while ensuring long-term affordability requirements.

The project involved layered financing and a complex capital stack, including federal and Georgia historic tax credits, construction and bridge loans, and public funding sources supporting the affordable housing component. Because the buildings are historic, the transaction required specialized master lease structures to accommodate historic tax credit investors.

Burr & Forman assisted in structuring and documenting the transaction, which included multiple ground leases, land use restriction agreements, easements, and other development-related agreements to support the redevelopment while ensuring compliance with affordability and historic preservation requirements.

This closing supports the continued revitalization of Southwest Atlanta while preserving historic structures and expanding access to affordable housing along the Beltline.

ABI is the nonprofit organization responsible for overseeing the planning and implementation of the Atlanta Beltline, a 22-mile network of multi-use trails, parks, and transit corridors connecting 45 intown Atlanta neighborhoods.

The Burr & Forman team was led by Douglas Selph, Sarah Bangs, Kyra Lockhart, and Jake Summerlin, with additional support from Jeff Allen, Gail Mills, George Morrison, Michele Reddick, John Rogers, Brad Skidmore, Josh Stover, and John Wall, who contributed experience across a wide range of practice areas to bring the project to a successful close.
