Tala Woods is Counsel in the firm’s Corporate & Tax practice group.
Tala focuses her practice on public finance and corporate law. Her public finance experience includes representing governmental and non-governmental entities in a wide range of transactions involving governmental bonds, private activity bonds, certificates of participation, revenue bonds, refunding bonds, variable rate debt obligations, and tax-exempt leasing. She has served as bond counsel, borrower’s counsel, developer’s counsel, underwriter’s counsel, and trustee’s counsel in conduit and tax-exempt financings for continuing care retirement communities, colleges, hospitals, airports, utilities, and other 501(c)(3) organizations. Tala has also advised community development districts, school districts, and other state and local governmental entities, including cities, counties, and public utilities, as well as banks, underwriter syndicates, and trustees.
On the corporate side of her practice, Tala counsels clients on a broad range of general corporate matters, including mergers and acquisitions and debt and equity financing. She has represented developers, lenders, and business owners in connection with business acquisitions and dispositions, drafting and negotiating asset and stock purchase agreements, employment and non-competition agreements, operating agreements, seller financing arrangements, guaranties, and related transactional documents. Her experience also includes advising clients on franchise and licensing matters.
Prior to joining the firm, Tala practiced for more than a decade with a focus on public finance and business law. Earlier in her career, she served as an investment portfolio manager for the trust company of a large national banking association, managing trust assets that included debt and equity investments, and earned the Chartered Financial Analyst designation.
