Burr & Forman Represents GCON in Acquisition by Webcor
Burr & Forman represented GCON, a Phoenix-based general contractor, in its acquisition by Webcor, a San Francisco-based general contractor and wholly owned subsidiary of a publicly traded Japanese parent company. The transaction closed on December 1, 2025.
GCON is a full-service construction management firm serving clients across the technology, healthcare, aviation, higher education, and public sectors. The company operates in 23 states, including active mission-critical environments, data centers, and semiconductor projects across 10 states. Under the transaction, GCON will continue to operate independently under its existing leadership team and brand, with oversight from Webcor.
Through the acquisition, Webcor plans to leverage GCON’s capabilities in the technology sector to expand into new, high-growth markets, while GCON will benefit from Webcor’s financial strength and the global resources of its parent company.
Birmingham Partner David Dowd led the Burr & Forman team on the transaction, with Ty Roofner, Hayden Gunter, Josie Wall, and Mary Caroline Newman playing key roles throughout. Hayden Gunter and Ken Thompson advised on federal tax matters, while April Mason and Anna Robinson handled the Hart-Scott-Rodino filings, and Nicole Sims assisted with CFIUS matters. Carlton Hilson advised the senior management team on employment matters, with Logan Hinkle and Robert Ellerbrock supporting employee benefits matters.
